Understanding the Ironclad Customer Acknowledgement Form

When purchasing Asana licenses through Cirface, you'll be asked to review and sign the Ironclad Customer Acknowledgement Form. This document outlines the resale terms for indirect sales and defines the relationship between you (the customer), Asana, and Cirface as your channel partner.

What This Form Does

The Acknowledgement Form essentially acts as the official handoff from Asana to Cirface, giving us the legal and operational authority to manage your license subscription. Here's what it includes:

  • Subscriber Terms Agreement: You agree to the Asana Subscriber Terms, which govern your use of the platform.

  • Data Sharing Consent: You explicitly authorize Asana to share certain account data—like billing details and usage metrics—with Cirface, so we can provide you with services tied to your Asana subscription.

  • Channel Partner Role Clarification: The form clarifies that while Cirface (the Channel Partner) can manage your subscription, we cannot modify Asana’s terms or make promises on their behalf. Basically, we’re helpful, not omnipotent.

  • Order Form Acknowledgement: Any reference to an “Order Form” in Asana’s terms now applies to the form submitted by Cirface on your behalf. Accuracy of those details is our responsibility—no pressure.

  • Refund & Billing Provisions: If you're eligible for a refund, Asana will issue it to Cirface, and we’ll pass it on to you. Similarly, your billing and payment terms are governed by your agreement with Cirface, not Asana.

  • Renewals & Transition Options: At the end of your subscription, you can renew through Cirface. If you ever want to switch back and work directly with Asana, you’ll need to do so at least 30 days before your current term ends.

Why It Matters

This form ensures transparency and legal clarity, especially since Cirface will be handling all billing, license provisioning, and customer support moving forward. It doesn't include service terms—just software subscription governance. Services you receive from Cirface are governed separately (i.e., by us, not the fine print in this doc).
